1. NameThe Association shall be called Suffolk Basketball, hereinafter referred to as “Suffolk Basketball”. 2. Objectsto promote and encourage the game of basketball, played in a fair and caring way as described in the Equity and Child Protection Policies. 3. MembershipAny club or individual located within the geographical boundaries of Suffolk shall be eligible for affiliation. Clubs or individuals outside the County of Suffolk and approved for membership of a Suffolk competition shall also be eligible for affiliation. All of the above must comply with the rules and regulations of England Basketball. Any person who is a member of an affiliated club shall be eligible for membership of Suffolk Basketball provided that he/she complies with the rules and regulations of England Basketball. 4. OfficersThe Honorary Officers of Suffolk Basketball shall be President, Vice-Presidents, Chairman, Vice-Chairman, Secretary, Treasurer, Technical Secretary, Publicity Officer, Registrar, Development Officer. Competitions Sub-Committee Chairman, Secretary and Treasurer. 5. Executive CommitteesThe general affairs of Suffolk Basketball shall be managed by the Officers and other members of the Executive Committee. The Executive Committee shall consist of the Officers of Suffolk Basketball and any co-opted members considered of value to Suffolk Basketball. In addition the Executive Committee may co-opt not more than three other members whose contributions may be considered to be of value to Suffolk Basketball. The Executive Committee shall have the power to fill vacancies in its membership and shall have the power to transact business, appoint sub-committees from its members or other persons as it sees fit. The general business of Suffolk Basketball shall be conducted at a Basketball Focus Group which shall meet a minimum of four times a year in March, June, September and December. All affiliated clubs are eligible to send representatives to the Basketball Focus Group Meetings. All matters relating to competitions shall be conducted by the Competitions Sub-Committee. The Competitions Sub-Committee shall have the power to co opt members. Co opted members will have voting power. 6. FinanceThe financial year of Suffolk Basketball shall end on 31st August and statements of accounts up to and including this date shall be presented at the AGM. The funds of Suffolk Basketball shall be deposited in a recognized bank or building society. Every league or other competition run by Suffolk Basketball shall have its individual finances ring fenced from the general funds of Suffolk Basketball. In the event of Suffolk Basketball disbanding all funds and assets shall become the property of England Basketball. 7. AGMThe Annual General Meeting shall be held by 30th September. The annual reports of the Executive Committee, the Competitions Sub-Committee and a statement of accounts shall be presented. At least 14 days notice, specifying place, date and hour together with the agenda shall be given to all affiliated clubs, leagues and associations who shall inform their members. Each affiliated league, club or association and each Honorary Officer shall be entitled to one vote at the AGM. All matters shall be decided on by ballot or a show of hands of the members present and qualified to vote. A majority in excess of one third of the votes cast shall be necessary to carry any resolution in respect of the constitution of Suffolk Basketball. Other resolutions shall be decided by a simple majority and in the event of a tie the Chairman shall have a second or casting vote. No person may vote in more than one capacity. 8.Competitions Sub-CommitteeImmediately after the AGM of Suffolk Basketball the Competitions Sub-Committee will hold a Meeting which will concern itself solely with the affairs of competitions, current or proposed. Each competition will have its own playing rules with regard to eligibility, finance etc. 9. Extraordinary General MeetingsAn Extraordinary General Meeting of Suffolk Basketball shall be convened on the resolution of its Executive Committee or within one month of receipt of a resolution signed by the secretaries of at least 3 affiliated clubs. At least fourteen days notice shall be given of the place, date and hour and the business of the meeting to affiliated clubs, league and association secretaries who shall inform their members. 10. ConstitutionNo amendment of the Constitution shall be effected unless at an AGM or EGM. Any proposed amendments shall be submitted to the Honorary Secretary by 1st August, or in the case of an EGM 28 days before the proposed meeting date, with resolutions requesting a meeting. In the event of any question or matter arising which is not provided for in the Constitution such matters will be dealt with by the Executive Committee.
